Terms of service

Last Updated: September 18, 2026

1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites and online services operated by CandorLight LLC ("CandorLight," "we," "us," or "our"), including ImageFlow-AI.com and all related subdomains (each, a "Site," collectively, the "Sites"), and the ImageFlow-AI visual search service made available through them (the "Service"). By accessing or using the Sites or the Service, you ("you" or "User") agree to be bound by these Terms. If you do not agree, do not access or use the Sites or the Service.

2. The Service

ImageFlow-AI is a visual product search service. It has two categories of user:

2.1. Business Customers — businesses that register for an account, connect a product catalog, and embed the ImageFlow-AI widget on their own website to let their visitors search that catalog by photo.

2.2. End Users — visitors to a Business Customer's website who use the embedded widget to upload a photo and view matching products. End Users are not required to register an account and are not charged for using the widget.

3. Business Customer Accounts

3.1. Account Creation. Business Customers must provide accurate, current account and billing information and keep it up to date.

3.2. Catalog Data. Business Customers are responsible for the accuracy of the product data (images, names, codes, and links) they provide, and must have the rights necessary to submit that data for processing by the Service.

3.3. Account Security. Business Customers are responsible for safeguarding their account credentials and for all activity under their account, and must notify us promptly of any unauthorized use.

3.4. Account Termination. We may suspend or terminate a Business Customer's account for violation of these Terms, non-payment, or other reasons described in Section 13.

4. Fees and Payment

4.1. Business Customers pay fees as described on our Pricing page, which may include a recurring service fee and usage-based charges. Fees are billed monthly, in arrears, at the end of each calendar month. There is no minimum contract term; subscriptions run month to month until cancelled under Section 4.2.

4.2. Cancellation and Refunds. A Business Customer may cancel their subscription at any time by contacting us at support@candorlight.com. Cancellation does not take effect immediately: the Service will continue to be available, and any applicable usage charges will continue to accrue, through the end of the then-current paid monthly billing period, at which point the subscription ends. We do not provide refunds, including for partial months, unused usage, or cancellations made partway through a billing period.

4.3. Late Payment. If an invoice remains unpaid more than thirty (30) days past its due date, we may automatically suspend the Business Customer's access to the Service until the outstanding balance is paid in full.

5. End User Use of the Widget

5.1. The widget is provided to End Users free of charge, without an account requirement.

5.2. By uploading a photo or submitting the inquiry form, End Users represent that they have the right to submit that content and agree it may be processed as described in our Privacy Policy and shared with the Business Customer operating the site where the widget appears.

5.3. End Users may not use the widget to upload unlawful, infringing, or harmful content, or to attempt to disrupt, overload, or reverse-engineer the Service.

6. Prohibited Uses

You may not:

6.1. Use the Sites or Service for any unlawful purpose;

6.2. Attempt to gain unauthorized access to any account, system, or portion of the Sites or Service;

6.3. Interfere with or disrupt the operation of the Sites or Service;

6.4. Upload or transmit content that is unlawful, infringing, harmful, or violates any person's privacy rights;

6.5. Use automated tools to scrape or extract data from the Sites or Service without prior written permission;

6.6. Reverse engineer, decompile, or attempt to derive the source code or underlying matching logic of the Service;

6.7. Remove or obscure any proprietary notices.

7. Intellectual Property

7.1. CandorLight IP. The Service, including its software, matching engine, and all associated technology, is owned by CandorLight and protected by intellectual property law. Business Customers receive a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during their subscription term.

7.2. Business Customer Content. Business Customers retain all rights to the product catalog data (images, names, codes, links) they provide. By submitting it, they grant CandorLight a limited license to process, index, and display that data solely to provide the Service to that Business Customer and their End Users.

7.3. End User Content. End Users retain rights to the photos they upload. By submitting a photo, End Users grant CandorLight a limited license to process it solely to provide matching results and, if they submit the inquiry form, to deliver the photo and their contact details to the relevant Business Customer.

8. Privacy

Our collection and use of personal information is governed by our Privacy Policy, incorporated into these Terms by reference. Business Customers who require a Data Processing Addendum for their own compliance purposes may request one by contacting support@candorlight.com.

9. Third-Party Content and Links

The Sites may contain links to third-party websites. We do not endorse and are not responsible for third-party content, and your use of third-party sites is at your own risk.

10. Disclaimers

CANDORLIGHT DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT ANY PARTICULAR MATCH RESULT WILL BE ACCURATE OR COMPLETE. VISUAL MATCHING RESULTS ARE PROVIDED ON A BEST-EFFORTS BASIS AND DEPEND ON THE QUALITY OF SUBMITTED IMAGES AND CATALOG DATA.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, CANDORLIGHT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM YOUR USE OF THE SITES OR SERVICE. CANDORLIGHT'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE FEES PAID BY THE BUSINESS CUSTOMER TO CANDORLIGHT IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12. Indemnification

You agree to indemnify and hold harmless CandorLight from claims arising from your use of the Sites or Service, your violation of these Terms, your catalog data or uploaded content, or your infringement of third-party rights. Business Customers additionally agree to indemnify CandorLight for claims arising from their handling of End User photos or contact details after CandorLight delivers them.

13. Termination

13.1. We may suspend or terminate access to the Sites or Service for breach of these Terms, non-payment under Section 4.3, or other reasons, with notice where reasonably practicable.

13.2. Following termination, whether by the Business Customer under Section 4.2 or by CandorLight under Section 13.1, we retain catalog data, End User photos, and lead records for up to twelve (12) months, after which they are deleted. A Business Customer may request earlier deletion of their data at any time by contacting support@candorlight.com, and we will provide an export of their data if requested.

14.3. Class Action Waiver. You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

15. Modifications

We may modify these Terms at any time by posting updated Terms on the Sites with a new “Last Revised” date. For material changes, we will provide reasonable advance notice by email to registered users or by prominent notice on the Sites. Your continued use of the Sites after such modifications become effective constitutes acceptance of the updated Terms. If you do not agree to the modified Terms, you must discontinue use of the Sites.

16. DMCA Copyright Infringement

16.1. Respect for Intellectual Property Rights. CandorLight respects the intellectual property rights of others and expects users of the Sites to do the same. 17. General Provisions

17.1. Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and CandorLight regarding your use of the Sites and supersede all prior or contemporaneous communications regarding the Sites. These Terms do not modify or supersede any separate license agreements, subscription agreements, or other contracts between you and CandorLight governing your use of CandorLight products or services.
